  • Service: The B2B buyer-intelligence and lead generation platform offered by Howdy Sales, including signal stacking, off-site intent data, and network mapping.

  • Client: A paying user of Howdy Sales’s Service.

  • Website Visitor: An individual whose information is processed via signal stacking or enrichment services.

  • Personal Data: Any information relating to an identified or identifiable natural person.

 

3. Description of the Service

Our Service may involve:

  • Deanonymizing website visitor data using IP addresses, cookies, and other signals

  • Matching visitors to contact or company information

  • Enriching and deduplicating data using third-party sources like Vector, Clay, The Swarm, and publicly available data

  • Integrating data with your CRM and communication tools for outreach and intelligence

 

4. User Obligations

You agree that:

  • You will use the Service in compliance with all applicable laws and industry standards (e.g., GDPR, CCPA)

  • You are responsible for maintaining the confidentiality of your account and activities under it

  • You must provide accurate, current, and complete information where required

  • You hold a lawful basis for processing Website Visitors’ data (e.g., consent or legitimate interest), and your use of our Service complies with applicable privacy obligations.

 

5. Data Privacy and Protection

  • When processing Personal Data on your behalf, Howdy Sales acts as a Data Processor, and you are the Data Controller.

  • We adhere to our Data Processing Addendum (DPA) as needed and implement appropriate technical and organizational safeguards to secure data.

6. Intellectual Property

  • All rights, title, and interest in the Service—including software, data models, and intellectual property—are owned by Howdy Sales or its licensors.

  • You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for internal business use only.

  • You may not reverse-engineer, modify, or create derivative works from the Service without prior written permission.

 

7. Fees and Billing

  • Service fees are outlined on your account dashboard or in separate agreements.

  • Unless otherwise stated, fees are non-refundable.

  • Howdy Sales reserves the right to change pricing with advance notice (e.g., 30 days).

 

8. Disclaimers & Limitations of Liability

  • The Service is provided “as is” and “as available,” without any express or implied warranties such as merchantability or fitness for a particular purpose.

  • We do not guarantee uninterrupted, error-free, or completely secure service.

  • To the fullest extent permitted by law, Howdy Sales will not be liable for indirect or consequential damages.

  • Our total liability is limited to the amount you’ve paid us in the 12 months preceding the claim.

 

9. Termination

  • We may suspend or terminate your access to the Service at our discretion.

  • You may terminate by discontinuing use or canceling your subscription.

  • Upon termination, your license ends and you must cease using the Service.

 

10. Governing Law & Dispute Resolution

Specify your company’s jurisdiction (e.g., Colorado, United States) and chosen method of dispute resolution (e.g., binding arbitration or court jurisdiction).

 

11. Modifications to Terms

  • We may modify these Terms and will post the updated version with a new “Last Updated” date.

  • Continued use after changes constitutes acceptance of the modified Terms.
